2027 TERMS & CONDITIONS
At Okanagan Pass Network Inc., we believe strong business relationships begin with clear communication, mutual understanding and trust.
We've created these Terms & Conditions as tools in the toolbox, a friendly, practical guide to help everyone understand how our Pass Programs work, what to expect and how we can succeed together.
1. DEFINITIONS
For these Terms & Conditions:
“Application” means the Friends in Business Application submitted by a business to participate in an OPN Pass Program. An Application becomes approved when OPN confirms its acceptance by email.
“Agreement” means the approved Application and these Terms & Conditions, which together form the Agreement between OPN and the participating business upon OPN's confirmation email.
“Collectible Pass” means the limited-edition, individually numbered printed Pass featuring original local artwork and selected Pass Stops. Each purchase includes access to the corresponding Digital Pass.
“Digital Pass” means the electronic Pass used to access and redeem approved Pass Holder Exclusive Offers through OPN's designated technology.
“Friends in Business” means locally owned and operated businesses or organizations approved by OPN to participate in its Pass Programs.
“Okanagan Pass Network Inc.” (the “OPN”) means the company that develops, manages and operates locally inspired Pass Programs encouraging movement, exploration, discovery and connection while supporting Okanagan businesses and communities.
“Participating Pass Commission” (the “PPC”) means the commission on sales of either Pass Program, including Pass Bundle purchases, attributed to the participating business's assigned QR Codes.
“Pass Holder” means a person holding a valid Pass for the applicable Pass Program.
“Pass Holder Exclusive Offer” means the special offer, discount, complimentary item, experience or benefit provided by a Pass Stop under its approved redemption terms.
“Pass Bundle” means the discounted purchase of both OPN Pass Programs in one transaction.
“Pass Programs” means OPN's two 2027 experiences:
Okanagan Rail Trail Culinary & Adventure Pass (aka Okanagan Rail Trail Pass)
Kelowna Lakeside Experience Pass (aka Lakeside Experience Pass)
“Pass Stop” means an approved participating business location where Pass Holders may redeem an Exclusive Offer.
“Pass Year” means the period from the applicable Pass Program's official launch date through December 31 of that calendar year. OPN will announce launch dates on its website, social media and by email to approved Friends in Business. Participation remains subject to the withdrawal and termination provisions of these Terms & Conditions.
“QR Code” means a unique QR code assigned to each participating business and to each Pass Program and Pass Bundle, allowing OPN to identify and track both the business generating the sale and the Pass purchased.
2. NO COST TO PARTICIPATE
There is no cost to become a Friend in Business with OPN. No application, membership or participation fees. No hidden charges.
OPN covers Pass administration, technology, payment processing, marketing and promotional materials.
In return, each Friend in Business agrees to honour its approved Exclusive Offer and participation commitments.
3. WHAT'S INCLUDED — FRIENDS IN BUSINESS BENEFITS
Every approved Friend in Business receives the following at no cost:
1. Participating Pass Commission (PPC): Earn commission on eligible sales of either Pass Program or the Pass Bundle through your assigned QR Codes, or choose to decline it.
2. Digital Pass Listing: Your business and approved Exclusive Offer featured on the applicable Digital Pass.
3. Website, Social Media & Map: Promotion across OPN's website, social media and interactive Pass map.
4. Cross-Promotion: Increased exposure through both Pass Programs and the Pass Bundle, connecting participating Pass Stops with more customers and communities throughout the Okanagan.
5. Friends in Business Network: Opportunities to connect and collaborate with other participating businesses.
6. Ongoing Promotion: Marketing through advertising, events and other promotional activities throughout the Pass Year.
4. PASS PROGRAMS
OPN operates two Pass Programs, each with its own approved Pass Stops and Exclusive Offers.
Participating in Both Programs
Some Friends in Business may have locations in communities served by both Pass Programs.
Each proposed Pass Stop must meet the applicable community and route proximity guidelines and requires its own Application and independent OPN approval.
Each approved Pass Stop has one Exclusive Offer, retail value and redemption terms for its applicable Pass Program. A location participating in both Programs requires a separate approved offer for each.
Pass Holders may purchase either Pass Program individually or both together as a discounted Pass Bundle.
Each Pass Program retains its own approved Pass Stops, Exclusive Offers and redemption terms. Each Exclusive Offer may be redeemed only once per eligible Pass, unless its approved terms state otherwise.
Digital Passes
Digital Passes feature original local artwork and are issued and accessed through OPN's approved third-party Digital Pass platform.
Pass Holders purchase their Digital Passes individually or as a Pass Bundle through unique QR Codes provided at participating Friends in Business locations.
Pass Bundle
Each Pass Bundle is one purchase that includes both OPN Pass Programs at a discounted price.
Pass Holders receive a separate Digital Pass for each Program, with access to its approved Pass Stops, Exclusive Offers and redemption terms.
Collectible Passes
Collectible Passes are limited-edition, individually numbered printed Passes featuring the same artwork as their Digital counterparts. Each includes a unique QR code linking it to its corresponding Digital Pass.
Collectible Passes may feature selected Pass Stops that also appear on the Digital Pass. All approved Exclusive Offers remain available and redeemable digitally through the corresponding Digital Pass.
OPN determines production quantities and pricing. Collectible Passes may be priced differently and are available through selected tourism and hospitality partners.
All official redemptions are completed and recorded digitally. Pass Holders may stamp or mark their printed Pass as a keepsake, but these markings do not count as redemption.
Collectible Pass — Featured Businesses
A limited number of Friends in Business may be selected for inclusion on the printed Collectible Pass.
OPN considers available space, location, variety of experiences and overall Pass design when selecting businesses.
There is no additional fee or guarantee of inclusion. If a Friend in Business is selected to be featured on the printed Collectible Pass, OPN will provide written confirmation before production.
Pass Holder Benefits & Rewards
OPN may offer voluntary challenges, offers, promotions, exclusive invitations and rewards encouraging Pass Holders to explore more participating businesses. Visits and redemptions are not guaranteed.
Inclusivity
Pass Holders can enjoy our Programs by walking, cycling, using mobility aids, driving or combining transportation methods. There is no required route or mode of transportation.
Growing, Learning & Evolving Together
As a growing company, OPN is committed to learning, improving and finding better ways to serve Friends in Business, Pass Holders and our communities.
OPN may introduce new Pass Programs, technology, products, sales channels, marketing initiatives and business opportunities as we grow.
Where changes affect participating businesses, OPN will communicate them clearly and provide reasonable advance notice wherever possible.
5. YOUR PASS STOP OFFER
Each Pass Stop agrees to provide and honour one Pass Holder Exclusive Offer for its applicable Pass Program, including its stated retail value and redemption terms.
Redemption Rules
Unless otherwise specified in the approved offer:
✓ Each Exclusive Offer may be redeemed once per Pass Holder during the Pass Year.
✓ Each redemption is limited to one transaction and cannot be split between transactions.
✓ Offers cannot be combined with other promotions unless permitted by the business.
✓ Offers have no cash value, cannot be exchanged for cash and are non-transferable.
Offer Listings & Redemption Terms
Exclusive Offers and their redemption terms will be displayed on the applicable Digital Pass and/or OPN website.
Selected offers may also appear on the Collectible Pass. Where space is limited, Pass Holders will be directed to the Digital Pass for complete details.
Once redeemed, an Exclusive Offer is considered used for that Pass Holder. The business remains featured throughout its participation.
Changes to Exclusive Offers
Friends in Business agree to maintain their Exclusive Offer, retail value and redemption terms throughout the Pass Year.
Any proposed changes require OPN's written approval before taking effect. Reasonable exceptions may be considered when circumstances change unexpectedly.
Consistency builds trust. Unexpected changes or failure to honour an advertised offer can disappoint Pass Holders and affect the credibility of our entire Pass network.
If this happens, OPN will first seek to understand and resolve the concern with the business. Where necessary, OPN may have to terminate business participation under Section 11.
6. WORKING TOGETHER — YOUR COMMITMENTS
Application & Participation
Submitting an Application does not guarantee participation in an OPN Pass Program.
Participation begins when OPN approves the completed Application and sends a confirmation email to the business. The approved Application and these Terms & Conditions together form the Agreement.
Participation continues from launch date through to December 31 of the applicable Pass Year, unless ended earlier in accordance with the Agreement.
Businesses agree to honour their approved Pass Holder Exclusive Offers throughout the applicable Pass Year, subject to their approved operating schedules and redemption terms.
Your Commitments
As a Friend in Business, your business agrees to:
1. Create One Exclusive Pass Offer: Choose an attractive and sustainable Pass Holder Exclusive Offer for each participating Pass Stop and applicable Pass Program.
2. Set Redemption Terms: Establish when and how your Exclusive Offer may be redeemed.
3. Educate Your Team: Ensure staff understand both Pass Programs, the Pass Bundle, your Exclusive Offer and redemption procedures.
4. Display Promotional Materials: Make reasonable efforts to display the promotional materials supplied by OPN.
5. Promote the Passes: Make both Pass Programs and the Pass Bundle available for purchase through OPN-provided promotional materials. Have fun finding creative ways to share the Passes with customers and visitors!
6. Welcome Pass Holders: Honour your approved Exclusive Offer and redemption terms when presented with a valid Pass.
Business Names, Logos & Marketing Permissions
By submitting an Application and participating in an OPN Pass Program, the business authorizes OPN to use its business name, logo, approved Exclusive Offer, submitted photographs and relevant business information to promote the Pass Programs throughout its participation.
This includes use on Digital Passes, websites, interactive maps, social media, advertising, printed materials and other related promotional channels.
No additional individual marketing authorization is required for these ordinary promotional activities under the Agreement.
Growing Together
Friends in Business are encouraged to share Pass promotions through their social media channels, tag OPN and fellow participating businesses, recommend other Pass Stops and explore opportunities for collaborative promotions, events and community initiatives.
7. PASS CIRCULATION, SALES & QR CODES
Digital Pass Circulation
Following the close of the Friends in Business Application process, OPN will establish the initial number of Digital Passes available for each Pass Program based on confirmed participation.
OPN may increase Digital Pass circulation throughout the Pass Year based on sales activity, availability and demand.
The number of Digital Passes in circulation does not mean every Pass Holder will visit every Pass Stop or redeem every Exclusive Offer.
While OPN cannot guarantee visits, redemptions, additional sales or repeat business, we hope each Exclusive Offer creates opportunities for lasting customer relationships.
Digital Pass Sales at Participating Locations
Every Friend in Business will make both OPN Pass Programs and the Pass Bundle available for purchase through OPN-provided promotional materials.
Each participating location will receive an initial allocation of Digital Pass inventory for both Programs.
OPN manages all Digital Pass inventory and may increase allocations throughout the Pass Year, subject to availability.
If inventory becomes unavailable for either Pass Program, OPN may temporarily suspend purchases of that Pass and the Pass Bundle until additional inventory is available.
Unique QR Codes
Each Friend in Business receives three unique QR Codes on each OPN-provided promotional material: one for each Pass Program and one for the Pass Bundle.
Each QR Code identifies both the participating business and the Pass Program or Pass Bundle purchased, allowing OPN to track sales and applicable commissions.
Businesses agree to notify OPN of suspected QR Code misuse or security concerns.
Digital Pass Purchasing — Simple & Secure
Purchasing an OPN Digital Pass is simple! Customers scan the QR Code for their chosen Pass Program or Pass Bundle displayed on OPN-provided promotional materials.
The QR Code directs customers to a secure online purchasing system, where they complete their purchase and receive their Digital Pass or Passes electronically.
Participating businesses are not required to process Pass payments, provide additional equipment, install software, create accounts or connect their existing POS systems to OPN.
Staff simply introduce customers to the Pass Programs and Pass Bundle and direct them to the QR Codes. OPN and its approved service providers handle purchasing, payment processing, Pass issuance and related customer support.
Digital Pass Redemption
Our Digital Pass works similarly to other digital wallet passes, gift cards, coupons and promotional offers.
At checkout, Pass Holders present their Digital Pass, and the Exclusive Offer is validated through OPN's approved redemption system. Once redeemed, the offer is automatically recorded and displayed as Redeemed.
Businesses apply their approved offer through their existing point-of-sale (POS) procedures, just as they would with any other discount or promotion. No POS software integration is required.
Collectible Pass purchases include the corresponding Digital Pass, and all official redemptions are completed digitally.
Digital Pass Inventory & Updates
OPN manages and tracks Digital Pass sales, Pass Bundle purchases and remaining inventory through its third-party platform.
Businesses may request updates on sales attributed to their QR Codes and remaining available Pass inventory. OPN will provide this information based on available sales records.
Pre-Launch Information & Materials
OPN will provide each participating business with the following information and materials with ample advance notice before the applicable Pass launch:
✓ The official launch dates for both Pass Programs.
✓ Confirmed pricing for each Pass Program and the Pass Bundle.
✓ The confirmed Participating Pass Commission (PPC) for each purchasing option.
✓ The confirmed community contribution amount allocated from each completed Pass sale, including Pass Bundle purchases.
✓ PPC payment and sales statement information, including secure direct deposit instructions where applicable.
✓ Initial Digital Pass inventory allocations.
✓ Promotional materials featuring the three unique QR Codes.
✓ Simple purchasing and redemption instructions for staff.
8. PARTICIPATING PASS COMMISSION (PPC)
Supporting local businesses is at the heart of our business model.
Unlike many coupon books, savings passports and discount programs, our approach gives Friends in Business an opportunity to earn a little extra revenue throughout the Pass Year, without the additional program costs often associated with participation, such as membership or advertising fees.
Commission Rates & Payments
After the Application process closes, OPN will confirm participation, pricing for both Pass Programs and the Pass Bundle, and the combined retail value of Exclusive Offers for each Pass Program.
OPN will establish the PPC rate for each Pass Program and the Pass Bundle and communicate these rates to participating businesses before launch.
The PPC rate remains fixed throughout the applicable Pass Year. Rates may change for future Pass Years.
PPC is earned on completed, eligible sales of either Pass Program or the Pass Bundle attributed to the business's unique QR Codes. Refunded, cancelled, reversed or fraudulent transactions are excluded.
Sales Statements & Direct Deposits
OPN will provide businesses receiving PPC with statements showing their eligible Digital Pass sales and commission earnings.
The statement and payment schedule, whether quarterly or semiannual, will be communicated before launch.
Businesses receiving PPC must complete a direct deposit authorization through OPN's secure process.
OPN manages commission tracking, statements and payments through its service providers.
OPN will maintain PPC sales and payment records and provide businesses receiving PPC with an annual statement of their commission earnings.
For the 2027 Pass Year, annual PPC statements will be provided by March 31, 2028.
Your Choice — Receive or Decline
Each Friend in Business may choose to receive or voluntarily decline its PPC in its Application.
If declined, the commission remains with OPN to support Pass operations, growth and community initiatives.
This choice does not affect participation benefits or the business's commitment to promote Pass purchasing.
9. GIVING BACK TOGETHER — COMMUNITY INITIATIVES
Every Pass purchased supports local businesses, celebrates local artists and contributes to community initiatives, with OPN matching the designated community contributions dollar for dollar.
Our Community Commitment
Following the close of the Application process, OPN will establish the amount to be allocated from each completed Pass sale to support local community initiatives.
The community contribution amount will be confirmed and publicly announced before the applicable Pass launch and remain fixed throughout the Pass Year. Amounts may change for future Pass Years.
This contribution is made from OPN's Pass sales revenue, is independent of the Participating Pass Commission (PPC) and does not reduce the commission payable to participating businesses.
Each Pass Bundle counts as one sale of both Pass Programs, with the designated community contribution for each Pass included in OPN's annual dollar-for-dollar matching commitment.
Following the end of each Pass Year, OPN will reconcile annual Pass sales, finalize the community contribution and match that amount dollar for dollar, doubling the funds available to support our communities.
For the 2027 Pass Year, the reconciliation and matching process will take place during the first quarter of 2028.
Nominations
Friends in Business are encouraged to nominate local charities, nonprofit organizations, community projects or initiatives they would like to see supported.
Nominations may include organizations or initiatives with which the business is personally involved or already supports. Any personal or financial connection to a nominated recipient must be disclosed to OPN.
Selecting Community Initiatives
OPN will review nominations and determine how community contributions are distributed. Funds may be shared among multiple eligible recipients throughout the Okanagan.
Transparency, Annual Reporting & Distribution
OPN is committed to transparency and accountability in how community contributions are allocated, matched and distributed.
All community contributions will be announced and distributed following the applicable Pass Year.
OPN will maintain records of eligible Pass sales, contributions allocated, matching funds and amounts distributed.
An annual public report will identify the total Pass-funded contribution, OPN's dollar-for-dollar matching contribution, the selected recipients and the amounts distributed.
This information will be shared through OPN's website and other communication channels.
10. ORIGINAL PASS ART & DESIGN
Each year, OPN celebrates local creativity through original artwork and design by a selected local artist or art student from one of our participating communities.
Each Pass Program features its own original artwork or design on both its Digital and limited-edition Collectible Pass, creating a unique keepsake celebrating the Okanagan.
Annual Featured Artist & Design
OPN selects a local artist or art student to create original artwork or design for each of our two Pass Programs.
In future years, our Passes may feature illustration, photography, graphic design or another creative medium, celebrating the diverse talents of our local creative community.
New artwork or design is introduced each Pass Year, celebrating local talent and creating an evolving collection.
Artist Recognition & Compensation
Our featured artist receives financial compensation and promotional recognition through OPN's Pass Programs, website, social media and marketing.
Compensation and artwork rights will be established through a separate agreement with the artist.
Supporting Emerging Artists
As our Original Pass Art & Design initiative grows, OPN hopes to introduce an annual bursary for a local emerging artist or art student. Details will be announced if the program is introduced.
Annual Original Artwork Recognition
Each Pass Year, OPN will determine how the original artwork created for each Pass Program may be used to recognize participation, celebrate achievements or support community initiatives.
Opportunities may include donating artwork to a local community initiative for fundraising, rewarding a Pass Holder who completes all Pass Stops, recognizing a Friend in Business for outstanding Pass sales or awarding artwork through a Pass Holder prize draw.
OPN will determine the arrangements for each original artwork and announce the details during or following the applicable Pass Year. Any applicable eligibility requirements, selection criteria or contest rules will be established and communicated before the corresponding activity takes place.
11. RENEWAL, CHANGES & ENDINGS
Annual Renewal
Participation does not automatically renew, but priority consideration will be given to returning Friends in Business.
As a new company, we're working to launch our 2027 Pass Programs as early as possible. Our goal for 2028 and future Pass Years is to open and complete the annual Application process earlier, allowing us to confirm participating Pass Stops and prepare for a December or January launch.
An earlier launch would provide more opportunities for year-round exploration, encourage local visits during the quieter fall and winter tourism months, and potentially allow us to introduce early-bird Pass pricing.
Existing Friends in Business will receive the first invitation to apply for the following Pass Year, before Applications open to the broader business community.
Businesses wishing to renew must submit a new Application and receive approval through a confirmation email from OPN.
Working Through Changes Together
We understand that unexpected circumstances can arise throughout the Pass Year. Open communication gives everyone the best opportunity to find a practical solution while protecting the Pass Holder experience.
If a business anticipates needing to withdraw or can no longer honour its approved Exclusive Offer, we ask that it contact OPN as soon as possible so we can discuss the circumstances and explore available options.
When the Unexpected Happens
Emergencies and circumstances beyond anyone's reasonable control can sometimes interrupt business operations or Pass Programs. These may include natural disasters, wildfires, floods, severe weather, public health emergencies, government restrictions, power outages or significant technology disruptions.
Neither OPN nor a participating business will be responsible for delays or failures to meet obligations under the Agreement to the extent caused by circumstances beyond their reasonable control.
The affected party agrees to notify the other as soon as reasonably possible and make reasonable efforts to minimize disruption and resume its commitments when circumstances allow.
OPN and the participating business will work together, where possible, to determine appropriate temporary adjustments, with consideration for affected Pass Holders.
Withdrawal & Termination
Either OPN or the participating business may end participation by providing 15 calendar days' written notice. This notice period allows time to review the circumstances, coordinate changes and communicate with affected Pass Holders.
OPN may suspend or terminate participation immediately where reasonably necessary due to fraud, safety concerns, threatening or abusive conduct, serious misconduct, a material breach of these Terms & Conditions or circumstances requiring immediate action.
Where appropriate, OPN will make reasonable efforts to discuss concerns with the business and explore a practical resolution before termination.
Whenever possible, we believe in ending participation on good terms. Our business relationship may change, but our commitment to supporting one another and remaining Friends in Business within our community doesn't have to end.
Removal of Pass Stops & Public Notification
Following withdrawal or termination, OPN may remove the affected Pass Stop and its Exclusive Offer from the Digital Pass, website, interactive map and promotional materials.
Where the business is featured on a printed Collectible Pass already in circulation, OPN will publish a notice on its website and social media channels advising Pass Holders that the affected offer is no longer available.
OPN will make reasonable efforts to communicate changes clearly, minimize disruption and consider appropriate alternatives for affected Pass Holders where reasonably possible.
Business Changes & Operating Information
Businesses must promptly notify OPN of ownership changes, relocation, permanent closures or other circumstances affecting their ability to honour their approved Exclusive Offers.
Participating businesses remain responsible for maintaining and communicating their current operating hours, seasonal schedules and temporary closures through their own channels.
Pass Holders will be encouraged to check each business's current operating information before visiting.
Where OPN is notified of relevant changes, OPN will make reasonable efforts to update its website and applicable Digital Pass information accordingly.
OPN may update Pass listings, suspend redemptions or take other reasonable measures to maintain the integrity of its Pass Programs and protect Pass Holders.
12. DUH, BUT WE HAVE TO INCLUDE IT!
Every good business relationship needs a few practical ground rules. These provisions help protect OPN, our Friends in Business and the Pass Holders who support our Pass Programs.
Independent Businesses & Responsibilities
OPN and each Friend in Business operate independently. Participation does not create a partnership, joint venture, employment relationship, franchise or agency arrangement.
Each business remains responsible for its own products, services, premises, employees, operations, insurance and compliance with applicable laws.
OPN remains responsible for administering its Pass Programs, including Pass sales, payment processing, technology, marketing and PPC payments.
Neither party may make commitments or enter into obligations on behalf of the other without written authorization.
Responsibility & Liability
OPN and each participating business are responsible for their own actions, omissions and obligations under the Agreement.
Each party agrees to protect the other against third-party claims, losses or reasonable expenses arising from its own negligence, misconduct or material breach of the Agreement, to the extent permitted by law.
OPN is not responsible for a participating business's operating expenses, lost profits, anticipated sales or business opportunities that do not materialize.
Nothing in these Terms & Conditions limits responsibilities or rights that cannot legally be excluded.
Business & Intellectual Property Rights
Each Friend in Business retains ownership of its business name, logo, trademarks and other materials.
OPN retains ownership of its business names, trademarks, Pass designs, promotional materials and other intellectual property, subject to any applicable third-party rights.
Original artwork created for the Pass Programs is governed by separate agreements with the featured artists.
Participation does not provide exclusive rights to a geographic area, business category or future Pass Program.
Protecting Our Agreed Commitments
During the applicable Pass Year, OPN will not reduce an established PPC rate for either Pass Program or the Pass Bundle, change a business's approved Exclusive Offer or its redemption terms, or impose new participation fees or material obligations without the business's written agreement.
Taxes
OPN is responsible for collecting and remitting applicable taxes on Pass sales as required by law.
Each Friend in Business is responsible for determining and reporting its own tax obligations arising from PPC earnings.
Privacy & Confidentiality
OPN and its service providers will collect, use and protect personal and business information in accordance with applicable privacy laws.
Information collected through Applications, Pass purchases, commission payments and Pass redemptions will be used for legitimate program administration and related purposes.
OPN will not disclose confidential business or financial information except as reasonably necessary to administer its Pass Programs, comply with applicable laws or with appropriate authorization.
Participating businesses agree to handle any Pass Holder information they receive responsibly and in accordance with applicable privacy requirements.
Technology & Security
OPN uses third-party technology and service providers to support Pass purchasing, issuance, redemption and administration.
While OPN will make reasonable efforts to maintain reliable services, temporary interruptions, technical errors or security concerns may occur.
Where necessary, OPN may temporarily suspend affected purchasing or redemption functions, investigate concerns and implement appropriate corrective measures.
OPN will make reasonable efforts to communicate material disruptions to affected businesses.
No Guarantee of Business Results
OPN works to promote participating businesses and encourage Pass Holders to explore their Exclusive Offers.
However, participation does not guarantee a particular number of Pass sales, customer visits, offer redemptions, repeat customers or additional business revenue.
Contests, Rewards & Promotions
OPN may introduce contests, giveaways, challenges and promotional rewards throughout the Pass Year.
These activities will be subject to applicable laws and any separate official contest or promotional rules.
Friends in Business are not required to provide additional prizes, funding or promotional offers without their agreement.
Communication & Notices
Official communications regarding Applications, approvals, participation, PPC, changes and termination may be provided through the email addresses supplied by participating businesses.
Friends in Business agree to keep their contact information current and notify OPN of any changes.
Where written notice is required under the Agreement, email is an accepted method of communication.
Changes to These Terms & Conditions
OPN may update these Terms & Conditions to reflect changes in laws, technology, operations or future Pass Programs.
Material changes affecting an existing Agreement will be communicated to participating businesses and will not alter their agreed obligations during the current Pass Year without their written consent, except where required by law.
Updated Terms & Conditions may apply to future Applications and Pass Years.
Governing Law
The Agreement is governed by the laws of British Columbia and the applicable federal laws of Canada.
Entire Agreement
The approved Application and these Terms & Conditions together form the entire Agreement between OPN and the participating business regarding its participation in the applicable Pass Program.
Any changes requiring mutual agreement must be confirmed in writing.
If any provision is found unenforceable, the remaining provisions continue to apply. A party's decision not to enforce a provision on one occasion does not prevent it from enforcing that provision in the future.
